Terms & Conditions

Please review these terms carefully — they govern your use of Mankiwave.

1. Introduction & Acceptance of These Terms

These Terms & Conditions (the "Terms") govern your access to and use of the Mankiwave platform, websites, applications, dashboards, and related services (collectively, the "Service") made available at https://mankiwave.in by Mankiwave ("Mankiwave", "we", "us", or "our"). By creating an account, subscribing to a plan, or otherwise accessing or using the Service, you ("User", "you", or "your") agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

These Terms incorporate by reference our Privacy Policy, Refund & Cancellation Policy, Cookie Policy, Acceptable Use Policy, Disclaimer, Shipping & Delivery Policy, and Data Protection & GDPR notice. Together these documents form the complete agreement between you and Mankiwave.

2. Eligibility & Authority to Bind

To use the Service you must be at least 18 years of age and capable of forming a legally binding contract under applicable law. If you use the Service on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity. You must provide accurate, current, and complete information during registration and keep it updated.

3. Description of the Service

Mankiwave is a cloud-hosted, multi-tenant software-as-a-service platform for WhatsApp marketing, customer relationship management (CRM), AI chatbots, bulk and broadcast messaging campaigns, automated bot building, and a shared team inbox / live chat. The Service enables you to connect your own WhatsApp number(s) and to communicate with your own contacts who have validly opted in to receive messages from you.

The Service is software-only; we do not supply any physical goods. Features, quotas, and functionality may vary by subscription plan and may be added, modified, or removed from time to time. We may improve, change, suspend, or discontinue any part of the Service without prior notice, except where otherwise required by law.

4. Account Registration & Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account, whether or not authorised by you. You agree to:

  • keep your login credentials confidential and not share them with unauthorised persons;
  • configure and manage permissions for any agents, team members, or sub-users you invite, and remain responsible for their actions on the Service;
  • notify us promptly at hello@mankiwave.in of any actual or suspected unauthorised access or security breach; and
  • ensure that all information associated with your account remains accurate and up to date.

Mankiwave is not liable for any loss or damage arising from your failure to comply with these security obligations.

5. Subscription Plans, Quotas & Fair Use

The Service is offered on paid subscription plans. Each plan carries specific quotas, such as the number of connected WhatsApp accounts and the volume of messages permitted. You agree to operate within the limits of your chosen plan. Where your usage exceeds your plan's quota, we may throttle, queue, restrict, or require an upgrade before continuing service.

Even where a plan is described as high-volume or generous, all use remains subject to fair-use principles and to our Acceptable Use Policy. We reserve the right to investigate and take action against usage that, in our reasonable judgement, is abusive, degrades the Service for other Users, or threatens the stability, security, or reputation of our platform or our upstream providers.

6. Billing, Renewals & Payment

Subscription fees are charged in advance for the applicable billing period. Payments are processed by third-party payment gateways including Razorpay, Stripe, PayPal, PhonePe, and PayU. By submitting payment information you authorise the relevant gateway and us to charge the applicable fees, taxes, and any recurring renewal amounts to your selected payment method.

  • Unless cancelled, eligible subscriptions may renew automatically at the end of each billing period at the then-current rate, and you authorise us (via the applicable gateway) to charge for each renewal.
  • You may cancel auto-renewal or your subscription as described in our Refund & Cancellation Policy; cancellation generally takes effect at the end of the current paid period.
  • You are responsible for any taxes, duties, bank charges, or currency-conversion fees applicable to your payment.
  • We may change pricing prospectively; any change takes effect from your next billing period, and your continued use after notice constitutes acceptance.

Refunds, where available, are governed exclusively by our Refund & Cancellation Policy. We are not responsible for the policies, processing times, or failures of third-party payment gateways.

7. Your Obligations & Acceptable Use

You are solely responsible for how you use the Service and for all content you transmit through it. In particular, you agree that:

  • you have obtained valid, demonstrable consent / opt-in from every recipient before messaging them, and that you maintain accurate records of such consent;
  • you will comply with the WhatsApp Business Messaging Policy, Meta's commerce and business policies, and all applicable platform rules of any third-party service you connect;
  • you will comply with all applicable laws, including the Indian Information Technology Act, 2000 and rules made thereunder, TRAI regulations and Do-Not-Disturb (DND) norms, and all anti-spam, telemarketing, consumer-protection, and data-protection laws applicable to you and your recipients (including, where applicable, the GDPR and CAN-SPAM Act);
  • you will honour opt-out and unsubscribe requests promptly; and
  • you will use the Service in accordance with our Acceptable Use Policy, which is incorporated into these Terms.

Mankiwave provides a tool and does not itself send unsolicited messages. You — not Mankiwave — determine the recipients, content, timing, and frequency of your messages, and you bear sole responsibility for them.

8. Prohibited Conduct

You must not, and must not permit any agent or sub-user to:

  • send spam, unsolicited bulk messages, or messages to recipients who have not validly opted in;
  • transmit content that is unlawful, fraudulent, deceptive, defamatory, obscene, harassing, hateful, or that infringes the intellectual property or privacy rights of others;
  • distribute malware, phishing links, scams, or content that promotes illegal goods or services;
  • impersonate any person or entity or misrepresent your affiliation;
  • circumvent, disable, or interfere with quotas, rate limits, security features, or any technical measures of the Service;
  • reverse engineer, decompile, scrape, resell, sublicense, or create derivative works of the Service except to the extent expressly permitted by law; or
  • use the Service in any manner that could damage, disable, overburden, or impair our systems or those of Meta, WhatsApp, payment gateways, or other third parties.

9. User Content & Licence to Operate the Service

You retain ownership of the data, message templates, media, contact lists, and other content you submit to or generate through the Service ("User Content"). You grant Mankiwave a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display, and otherwise use your User Content solely to the extent necessary to provide, maintain, secure, and improve the Service, to enable integrations you request, and to comply with applicable law.

You represent and warrant that you have all rights necessary to submit your User Content and to grant this licence, and that your User Content and its use through the Service do not violate these Terms or any applicable law or third-party right.

10. Third-Party Services & WhatsApp / Meta Dependency

The Service relies on third-party platforms and providers, including WhatsApp / Meta messaging infrastructure, AI providers, and payment gateways. Your use of those services may be subject to their own terms and policies, which you are responsible for reviewing and complying with.

You acknowledge and agree that:

  • Mankiwave does not guarantee message deliverability, delivery speed, or that any particular message will be received;
  • Meta, WhatsApp, or other providers may, at their sole discretion, rate-limit, restrict, suspend, or permanently ban your WhatsApp number or account — including as a result of your own messaging volume, content, or recipient reports — and Mankiwave has no control over and accepts no responsibility for such actions;
  • Mankiwave does not guarantee uninterrupted availability or uptime of the Service, which may be affected by maintenance, third-party outages, or events beyond our control; and
  • changes made by third-party providers to their APIs, policies, or pricing may affect or interrupt features of the Service.

Mankiwave is an independent platform and is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc., WhatsApp LLC, Google, Apple, or any other trademark holder. "WhatsApp", "Meta", "Instagram", and related marks are the property of their respective owners. Please review our Disclaimer for further detail.

11. Intellectual Property

The Service, including its software, source code, design, user interfaces, text, graphics, logos, and the "Mankiwave" name and brand, is owned by Mankiwave or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service in accordance with these Terms, no right, title, or interest in the Service is transferred to you. All rights not expressly granted are reserved. You may not use our trademarks without our prior written consent.

12. Suspension & Termination

You may stop using the Service and close your account at any time, subject to the Refund & Cancellation Policy. We may suspend, restrict, or terminate your access to all or part of the Service, with or without notice, if we reasonably believe that:

  • you have breached these Terms, the Acceptable Use Policy, or applicable law;
  • your usage poses a security, legal, or reputational risk to Mankiwave, other Users, or our providers;
  • your payment has failed, been reversed, or charged back; or
  • a third-party provider (such as Meta / WhatsApp or a payment gateway) requires it.

Upon termination, your right to use the Service ceases immediately. We may delete your account and User Content after a reasonable period in accordance with our Privacy Policy. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnity, and governing law — shall survive.

13. Disclaimers of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. Mankiwave does not warrant that the Service will meet your requirements, that messages will be delivered, that your accounts will not be restricted or banned by third parties, or that the Service will be secure, timely, or free of defects. Any reliance you place on the Service is at your own risk.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Mankiwave, its owners, officers, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business, or anticipated savings, arising out of or relating to your use of (or inability to use) the Service, including any restriction, suspension, or ban of your WhatsApp number, undelivered messages, or third-party outages, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Mankiwave's total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total amount of subscription fees actually paid by you to Mankiwave for the Service in the three (3) months immediately preceding the event giving rise to the claim.

15. Indemnity

You agree to indemnify, defend, and hold harmless Mankiwave and its owners, officers, employees, and agents from and against any and all claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your User Content and your messaging activities, including any lack of valid recipient consent or opt-in; (c) your violation of these Terms, the Acceptable Use Policy, or any applicable law (including the IT Act 2000, TRAI/DND norms, GDPR, CAN-SPAM, or WhatsApp / Meta policies); or (d) your infringement of any third-party right. This obligation survives termination of your account and these Terms.

16. Governing Law, Dispute Resolution & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Subject to applicable law, the courts located at Mankiwave, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to the personal jurisdiction of such courts. The parties shall first attempt to resolve any dispute amicably through good-faith negotiation before commencing formal proceedings.

17. Force Majeure

Mankiwave shall not be liable for any failure or delay in performing its obligations where such failure or delay results from causes beyond its reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, labour disputes, power or internet failures, cyber-attacks, or the acts, omissions, outages, or policy changes of third-party providers such as Meta / WhatsApp or payment gateways.

18. Changes to These Terms

We may update or modify these Terms from time to time. When we make material changes, we will update the version published at https://mankiwave.in and, where appropriate, provide additional notice. Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

19. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, severed from these Terms, and the remaining provisions shall continue in full force and effect.

20. Entire Agreement & Waiver

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Mankiwave regarding the Service and supersede all prior or contemporaneous understandings, communications, or agreements. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.

21. Notices

We may provide notices to you via the email address associated with your account, through the Service dashboard, or by posting on our website. Legal notices to Mankiwave must be sent to hello@mankiwave.in or to our registered address at Mankiwave, India. Notices are deemed given when sent (for email and in-product notices) or when delivered (for postal notices).
